Terms & Conditions
The terms that govern your access to and use of FORSA — what we do, what we don't, and what we expect from every user.
Welcome to FORSA.
These Terms & Conditions (“Terms”) govern your access to and use of the FORSA website, platform, applications, services, tools, features and related services (collectively, the “Platform”).
By accessing the Platform, creating an account, submitting a property or property contract, expressing interest in an opportunity, communicating through the Platform or otherwise using FORSA, you acknowledge that you have read, understood and agree to be bound by these Terms.
If you do not agree to these Terms, you must not create an account or use the Platform.
“FORSA Verified” does not mean “Developer Approved.”
0% price over means no seller markup — fees and other charges may still apply.
FORSA is not the seller, buyer or developer, and does not replace the developer's approval process.
Funds follow the applicable escrow or payment terms — starting a payment does not complete a transaction.
About FORSA
FORSA is a technology-enabled platform designed to facilitate opportunities involving the transfer or assignment of existing property purchase contracts.
FORSA connects holders of existing property purchase contracts who may wish to transfer their contractual position with potential buyers interested in acquiring such contractual positions.
FORSA provides technology, information, verification, communication and transaction-support services intended to facilitate this process.
FORSA does not own the properties listed on the Platform and, unless expressly stated otherwise in a specific transaction, does not itself sell the properties or property contracts listed by users.
FORSA does not replace the contractual relationship between the relevant property owner, buyer and property developer.
Definitions
For the purposes of these Terms:

- means Creative group international – CGI LLC, the operator of the FORSA Platform.

FORSA may request information and documentation necessary to verify your identity, contractual position, property information or eligibility.
Account Registration
Certain FORSA services require you to create an account.
You are responsible for:
- Providing accurate registration information.
- Keeping your information current.
- Maintaining the confidentiality of your login credentials.
- Taking reasonable steps to prevent unauthorized access to your account.
- Informing FORSA promptly if you believe your account has been compromised.
You must not permit another person to use your account where doing so would compromise the security or integrity of the Platform.
FORSA may suspend or terminate accounts where it reasonably believes that the account is being misused, compromised or operated in violation of these Terms or applicable law.
Seller Responsibilities
If you submit a property or property contract to FORSA, you represent and warrant that:
- You are the legitimate holder of the relevant property purchase contract or are legally authorized to act on behalf of the contract holder.
- The information you provide is accurate and complete to the best of your knowledge.
- Documents you provide are genuine and have not been materially altered.
- You have disclosed relevant outstanding payments or obligations known to you.
- You have disclosed material restrictions affecting the transfer, where known to you.
- You have the legal right to offer the opportunity for transfer.
- You will promptly notify FORSA of material changes affecting the Listing.
- You will not knowingly misrepresent the amount paid, outstanding balance, contract status or transferability of the property.
You must not list a property contract that you do not have the right or authority to transfer.
Buyer Responsibilities
If you express interest in or seek to acquire an opportunity through FORSA, you acknowledge that:
- You are responsible for reviewing the information provided.
- You should satisfy yourself regarding the property, contract, developer, financial obligations and transfer conditions.
- You should obtain independent legal, financial and tax advice where appropriate.
- Your expression of interest does not automatically constitute a binding purchase agreement.
- You may be required to satisfy the Developer's eligibility and approval requirements.
- You are responsible for meeting the payment obligations applicable to the transferred contract.
- You must provide accurate information and documentation requested during the transaction process.
Property Listings
Listings may contain information relating to:
- Developer
- Project
- Property type
- Unit details
- Original contract price
- Amount paid
- Remaining balance
- Installment schedule
- Location
- Property status
- Transfer requirements
- Applicable fees
- Other relevant information
FORSA takes reasonable steps to review information supplied through the Platform.
However, information may originate from Sellers, Developers or other third parties. FORSA does not guarantee that all information will always be complete, current or error-free.
Users should independently verify material information before entering into a binding transaction.
FORSA Verification
FORSA may review and verify information supplied by Sellers.
Verification may include:
- Identity information
- Property information
- Original contract information
- Payment information
- Remaining balance
- Installment information
- Developer requirements
- Supporting documentation
The scope of verification may vary between opportunities.
“FORSA Verified” does not mean “Developer Approved.”
A FORSA Verified designation means that FORSA has completed the applicable verification process for the information identified as verified.
It does not constitute a guarantee of:
- Property ownership beyond the information verified.
- Property value.
- Investment performance.
- Future appreciation.
- Rental income.
- Delivery date.
- Developer approval.
- Legal validity of every aspect of the underlying transaction.
Developer Approval
Where Developer approval is required, the transfer cannot be completed without satisfying the Developer's applicable requirements and obtaining the required approval.
FORSA does not bypass, override or replace a Developer's contractual or approval process.
A Developer may impose requirements relating to:
- Buyer eligibility.
- Documentation.
- Outstanding payments.
- Transfer or assignment fees.
- Administrative fees.
- Financial qualification.
- Payment status.
- Other contractual or regulatory requirements.
Developer requirements may change from time to time.
0% Price Over
FORSA promotes a 0% price-over philosophy.
Unless expressly stated otherwise, 0% price over means that the Seller does not add a premium or markup to the amount already paid under the original property purchase contract.
For example, if the verified amount paid under an existing contract is EGP 2,000,000, a 0% price-over Listing would not add a Seller-created premium to that amount.
0% price over does not mean that the transaction is free of all costs.
Applicable FORSA service fees, Developer transfer fees, administrative charges, banking charges, taxes or other transaction costs may apply.
Pricing and Financial Information
FORSA may display information including:
- Original contract price.
- Amount paid.
- Amount payable to the Seller.
- Remaining Developer balance.
- Installment schedule.
- FORSA fees.
- Developer fees.
- Other applicable transaction costs.
Such information is provided to facilitate evaluation of the opportunity.
It does not constitute financial, investment, valuation, tax or legal advice.
FORSA Fees
FORSA may charge fees for its services.
The applicable fee structure will be communicated through the Platform or during the relevant transaction process.
Where applicable, the FORSA service fee may be charged to the Buyer.
FORSA may change its fee structure from time to time.
Any applicable transaction fee will be communicated before the relevant party becomes contractually committed to the applicable fee, subject to applicable Egyptian law.
Developer and Third-Party Fees
A transaction may involve fees charged by parties other than FORSA, including:
- Developer transfer or assignment fees.
- Administrative charges.
- Banking charges.
- Escrow charges.
- Government fees.
- Registration fees.
- Legal or professional fees.
- Applicable taxes.
Unless expressly stated otherwise, these fees are separate from the FORSA service fee.
Responsibility for such fees depends on the transaction terms and applicable Developer requirements.
Expressing Interest
A Buyer may express interest in a Listing through the Platform.
An expression of interest:
- Does not automatically constitute a purchase.
- Does not automatically create a binding contract.
- Does not guarantee availability.
- Does not guarantee Developer approval.
- Does not guarantee completion of the Transaction.
A binding obligation arises only where the relevant parties have entered into the applicable agreements and the required conditions have been satisfied.
Communication Between Users
FORSA may facilitate communication between Buyers and Sellers.
Users must communicate honestly and professionally.
Users must not use information obtained through FORSA to:
- Harass another user.
- Send unauthorized marketing communications.
- Commit fraud.
- Misrepresent themselves.
- Mislead another user.
- Circumvent applicable transaction procedures.
- Obtain another user's personal information for an unrelated purpose.
Transactions Outside FORSA
Where FORSA introduces a Buyer and Seller or facilitates a potential transaction, users must not intentionally use information obtained through FORSA to circumvent applicable FORSA fees or deliberately avoid the legitimate operation of the Platform.
FORSA reserves the right to restrict accounts or take appropriate action where it reasonably believes that a user is deliberately attempting to circumvent the Platform's applicable commercial arrangements, subject always to applicable Egyptian law.
Payment and Escrow
Where an escrow or controlled payment arrangement is used, funds will be handled according to the terms governing that escrow or payment arrangement.
FORSA does not guarantee payment or transaction completion except to the extent expressly stated in an applicable agreement.
FORSA does not consider a transaction completed merely because a Buyer has initiated payment.
Funds may be released only when the applicable contractual, escrow and transaction conditions have been satisfied.
Transaction Process
A typical transaction may involve:
- Seller submits an opportunity.
- FORSA reviews the information.
- Applicable verification is conducted.
- The opportunity is made available to Buyers.
- Buyer expresses interest.
- Buyer and Seller agree to proceed.
- Required documentation is completed.
- Applicable payment or escrow arrangements are established.
- Developer requirements are completed.
- Developer approval is obtained where required.
- The contractual transfer is completed.
- Applicable funds are released according to the agreed arrangements.
The exact process may differ depending on the Developer, property, contract and transaction structure.
Transaction Timelines
FORSA does not guarantee a fixed transaction timeframe unless expressly agreed in writing.
Completion may depend on:
- Seller documentation.
- Buyer documentation.
- Payment status.
- Developer requirements.
- Developer approval.
- Banking or escrow procedures.
- Legal requirements.
- Administrative processing.
- Government procedures where applicable.
Any timeframe provided by FORSA should be treated as an estimate unless expressly guaranteed in writing.
If a Transfer Fails or Is Delayed
A transfer may fail or be delayed for reasons including:
- Developer rejection.
- Incomplete documentation.
- Outstanding payments.
- Buyer eligibility issues.
- Seller eligibility issues.
- Contractual restrictions.
- Regulatory requirements.
- Failure to satisfy transaction conditions.
- Banking or payment issues.
The treatment of any payments or deposits following a failed transaction will depend on the applicable agreements and payment or escrow arrangements.
Cancellation and Withdrawal
A Seller may withdraw a Listing before entering into a binding transaction, subject to any applicable agreement.
A Buyer may withdraw an expression of interest before entering into a binding transaction, subject to any applicable agreement.
Once binding agreements have been entered into, cancellation rights and consequences will be governed by those agreements and applicable Egyptian law.
No Guarantee of Transaction
FORSA does not guarantee that:
- A Seller will find a Buyer.
- A Buyer will find a suitable opportunity.
- A Developer will approve a transfer.
- A transaction will be completed.
- A property will increase in value.
- A property will generate rental income.
- A property will be delivered by a particular date.
- A particular financial outcome will be achieved.
FORSA provides a platform and transaction-support service and does not guarantee transaction success or investment performance.
FORSA Is Not the Seller, Buyer or Developer
Unless expressly stated otherwise in a specific written agreement, FORSA is not:
- The owner of a listed property.
- The Seller of a listed property.
- The Buyer of a listed property.
- The Developer.
- A party to the underlying property purchase contract.
FORSA does not assume the contractual obligations of the Seller, Buyer or Developer.
No Legal, Financial, Tax or Investment Advice
Information provided through FORSA is for general informational and transaction-facilitation purposes.
FORSA does not provide:
- Legal advice.
- Tax advice.
- Financial advice.
